9. DISPUTE RESOLUTION
9.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
9.2 Binding Arbitration
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PRIVACY POLICY, THE SITE, OR YOUR ACCESS TO OR USE OF THE SITE (A "DISPUTE") SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION, EXCEPT AS EXPRESSLY PROVIDED BELOW.
The arbitration will be conducted:
Rules: ADR Institute of Canada (ADRIC) Arbitration Rules, with the applicable procedure determined by the amount and nature of the claim.
Seat: Toronto, Ontario, Canada.
Language: English.
Arbitrator: A single arbitrator selected by mutual agreement or appointed in accordance with the applicable ADRIC rules.
Confidentiality: To the extent permitted by law, the arbitration proceedings, evidence, submissions, and award will be treated as confidential.
Costs: Unless otherwise determined by the arbitrator or applicable rules, each party will bear its own legal fees, while arbitration fees and other costs will be allocated in accordance with the applicable rules or the arbitrator's award.
9.3 Class and Representative Proceedings
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS.
YOU AGREE NOT TO:
-
participate in a class action or class arbitration;
-
participate in a representative proceeding;
-
consolidate or join your claim with claims brought by other users; or

9.4 Small Claims and Emergency Relief
Nothing in these Terms prevents either party from bringing an otherwise eligible individual claim before the Ontario Small Claims Court, subject to applicable jurisdictional and procedural limits.
Either party may also seek temporary, emergency, or equitable relief from a court of competent jurisdiction where reasonably necessary to prevent or address intellectual-property infringement, unauthorized use of confidential information, data theft, unauthorized access, or similar harm.
Seeking such relief does not, by itself, waive the obligation to arbitrate the underlying dispute to the extent arbitration remains applicable.
10. TERM, SUSPENSION, AND TERMINATION
10.1 Term
These Terms become effective when you first access or use the Site and remain effective until terminated in accordance with these Terms.
10.2 Suspension or Termination by LuxVita Wave

Your continued access to or use of the Site following the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
11.2 No Waiver
Our failure or delay in enforcing any provision or exercising any right under these Terms does not constitute a waiver of that provision or right.
Any waiver must be expressly made in writing by an authorized representative of LuxVita Wave.
A waiver of one provision or instance does not constitute a continuing or general waiver.
12. EXPORT CONTROLS AND SANCTIONS
You represent and warrant that your use of the Site and Content complies with all applicable Canadian and international export-control and sanctions laws.
You must not use, export, re-export, transfer, or otherwise provide Content or related technology in violation of applicable sanctions or export-control laws.

The remaining provisions will remain in full force and effect.
14.3 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.
